Important Notice — Simulated Environment & Regulatory Status

These Terms govern access to the Provider's services, which consist exclusively of simulated trading with virtual capital within an educational and evaluation programme (a "prop trading challenge"), the use of analytical and educational tools including artificial-intelligence-based tools, and access to the Provider's educational services.

The Provider is NOT a securities broker, bank, investment firm, payment institution, electronic money institution, virtual asset service provider, custodian, money manager, investment adviser or any other regulated financial institution. The Provider does not hold a licence under the Securities Act of Saint Vincent and the Grenadines, the Banking Act, the Financial Services Authority Act, or any equivalent legislation in any other jurisdiction, and is not authorised or supervised by the FSA, ESMA, SEC, CFTC, FCA, CySEC or any other financial regulator anywhere in the world.

Any data, figures, "capital", "profit", "loss", "account balance", "equity", "pay-out" and similar values displayed within the Services are simulated and evaluation values only, do not reflect real money or real positions on real financial markets, and serve solely for the purpose of assessing the User's trading skills, for educational purposes, and/or for the purpose of paying a Reward for successfully completing the evaluation programme.

PART I · Articles 1–5

Introductory Provisions

Art. 1

Introductory provisions, subject matter and scope

These General Terms and Conditions (the "Terms" or "GTC") are issued by CortexProp LLC, a Limited Liability Company incorporated under the laws of Saint Vincent and the Grenadines under Company No. 4430 LLC 2026, with registered office at The Financial Services Centre, Stoney Ground, Kingstown, Saint Vincent and the Grenadines, trading as CortexProp (the "Provider"), and govern the rights and obligations of the contracting parties in connection with the provision of the Services through the online platform at www.cortexprop.com and all its subdomains, mobile applications and API interfaces (the "Platform").

The Contract is concluded at the moment the User completes registration, ticks the consent box, pays the Fee, or otherwise uses the Services. These Terms form an integral part of the Contract. In the event of a conflict between these Terms and a separate written agreement, the separate agreement shall prevail only to the extent it is duly executed and explicitly derogates from a specific provision.

These Terms are drafted in English, which shall prevail in any dispute over interpretation. The Provider is not authorised to offer Services in jurisdictions where local law prohibits such activity, and reserves the right to refuse or terminate access for persons from sanctioned or restricted jurisdictions.

Art. 2

Art. 3

Acceptance of the Terms and conclusion of the contract

By accepting these Terms, the User confirms having read them in full, understood their content including all Annexes, and freely consents to their content. The Contract is concluded when the User completes registration, accepts these Terms by ticking the relevant checkbox, confirms their e-mail address, and (where applicable) pays the Fee.

Following conclusion of the Contract, the Provider shall send the User a confirmation to the registered e-mail address together with the Terms in PDF form. The User may at any time view, download and print the current Terms from the Platform. If the User does not agree with the Terms, the User shall refrain from registration and use of the Services.

The Provider is entitled to refuse to enter into a Contract with a particular User without giving any reason. If the Fee was already paid before refusal, the Provider shall return it in full within 14 days.

Art. 4

Nature of the Services and statement on the simulated environment

The User expressly acknowledges that: (i) the Provider does not provide any investment service within the meaning of MiFID II, the U.S. Securities Exchange Act or any equivalent regulation; (ii) the Provider does not accept deposits for the purpose of investing them on real financial markets; (iii) all Accounts, positions, capital amounts, balances, equity, profit and loss are simulated only; (iv) the Fee constitutes consideration for access to a simulated evaluation programme, AI tools and/or educational services, and not consideration for the purchase or sale of financial instruments.

The Reward paid to a successful User constitutes remuneration for the demonstration of trading skills in the simulated environment, and not a share of profit from real trading. The User has no proprietary right, share or other property claim in relation to any financial instrument, simulated position or the Funded Account itself. The Provider may, but is not obliged to, hedge its own risk through trades on real markets at the Provider's own risk, which has no impact on the User's rights or obligations.

No content of the Academy or output of the AI Services constitutes individual investment advice, financial advice, legal advice, tax advice or any other regulated advisory service. Results achieved in the simulated environment are no guarantee of results in a real trading environment.

Art. 5

Eligibility of the User

Only a person may become a User who: is at least 18 years old with full legal capacity (or a duly registered legal entity); is not a resident or national of a sanctioned country; does not reside in a jurisdiction where the Services are contrary to local law (including without limitation: United States, Canada, Iran, North Korea, Syria, Cuba, Belarus, Russian Federation and other countries on the Provider's restricted list); is not on any international sanctions list (PEP, sanctioned persons, terrorist watch-lists); is not an employee or director of the Provider unless internal policy permits; and has not had an Account terminated for Deceptive Conduct within the previous 60 months.

The User represents and warrants that all data provided are true and complete, that funds used to pay Fees do not originate from criminal activity, that the User does not use the Services on behalf of any third party without authorisation, and that the User is not insolvent or in bankruptcy proceedings. If any representation is untrue, the Provider may immediately terminate the Contract, close all Accounts, withhold any Reward and claim damages.

The Provider does not provide Services to US Persons within the meaning of Regulation S of the U.S. Securities Act of 1933, and reserves the right to block access from IP addresses in restricted jurisdictions.

PART II · Articles 6–9

Registration and User Account

Art. 6

Registration, creation and management of the Account

In order to use the Services, the User must establish an Account via the registration form, providing mandatory data including full name, e-mail address, telephone number, country of residence, password meeting security requirements, confirmation of age and full legal capacity, and consent to these Terms and the Privacy Notice.

The User may have only one (1) primary Account on the Platform. Creating multiple Accounts by the same person is deemed a material breach of the Contract and grounds for immediate termination of all such Accounts and forfeiture of any Reward. The Account is non-transferable and may not be transferred, sold, leased or otherwise granted to a third party.

Art. 7

User identification, KYC and AML

The Provider applies customer due-diligence measures in accordance with the Proceeds of Crime Act of SVG, FATF recommendations and applicable AML legislation. KYC documents required include: a valid identity document with photograph; proof of address not older than 3 months; a selfie with the identity document; a source-of-funds declaration for higher-value transactions; and, for legal entities, a UBO declaration.

If the User fails to provide documents, provides false or forged documents, or is identified on a sanctions list, the Provider shall immediately block the Account, withhold any Reward, terminate the Contract without notice, and report the matter to the Financial Intelligence Unit of SVG. KYC data and documents are retained for 5 years from termination of the Contract.

Art. 8

Account security, login credentials and multi-factor authentication

The User is exclusively responsible for the confidentiality of all Login Credentials. Passwords must be at least 12 characters long and contain uppercase, lowercase, digits and special characters. The User shall use multi-factor authentication (2FA) where offered and shall notify the Provider immediately of any suspicion of unauthorised access within 24 hours.

The Provider will never request the User to disclose a password, 2FA code or recovery key via e-mail, telephone or social media. Any such request is a phishing attempt and must be reported to the Provider. The Provider performs regular security audits and uses TLS 1.3 encryption and AES-256 at-rest encryption.

Art. 9

Single-Account policy and prohibition on access sharing

The following are prohibited: creating multiple primary Accounts; sharing an Account; using another person's Account; registering under another person's name; creating Accounts via VPN or proxy to circumvent geographic restrictions. The Provider detects breaches by automated means including IP analysis, device fingerprinting, KYC document comparison and trading-pattern analysis.

If a breach is detected, the Provider may terminate all affected Accounts with no right to a refund, withhold unpaid Rewards, claim damages, and block registration for at least 36 months for the person responsible and all close relatives.

PART III · Articles 10–20

Art. 11

Evaluation phase – Challenge (1-step and 2-step)

The Evaluation phase is the first phase of the Programme in which the User must demonstrate trading skills by meeting the profit target, Maximum Daily Loss limit, Maximum Total Loss limit, Minimum Trading Days requirement and Consistency Rule as defined in the Price List. The Evaluation phase is completed only upon written confirmation from the Provider. Meeting the parameters alone does not automatically entitle the User to progress to the next phase.

Art. 12

Verification phase

The Verification phase follows the successful Evaluation phase and demonstrates consistency of trading results under a lower profit target and the same or stricter risk parameters as defined in the Price List. The same rules and prohibitions as in the Evaluation phase apply. Completion of the Verification phase entitles the User to access a Funded Account.

Art. 13

Funded Account and Master Account

Upon successful completion of all required phases, the User gains access to a Funded Account. The Funded Account has no time limit unless the User commits an Account Breach. The User is entitled to receive the Reward for the Settlement Period in which the net simulated profit is positive, calculated and paid in accordance with the Profit Split specified in the Price List. The Provider may, at its discretion and upon the User's written request, merge multiple Funded Accounts into a single Master Account.

Art. 14

Instant Funded character of all packages

All four packages provide the User with immediate access to a Funded Account upon payment of the Fee and completion of KYC. The parameters of such Funded Account (simulated allocation, Profit Split, drawdown limits) are defined in the Provider's current Trading Rules document, which forms part of Annex 1. The User must comply with all Trading Rules from the first day of access.

Art. 15

Trading objectives, rules and metrics

The User shall comply at all times with the Maximum Daily Loss, Maximum Total Loss, Minimum Trading Days, Profit Target (where applicable), Consistency Rule and any other parameters defined in the Price List. Breach of any of these parameters shall constitute an Account Breach. The User is responsible for monitoring their own compliance with these parameters at all times.

Art. 16

Prohibited trading practices and manipulation strategies

The following trading practices are strictly prohibited and constitute Deceptive Conduct: exploiting latency arbitrage, tick-scalping, use of delayed price feeds; coordinated trading across multiple Accounts or with third parties to achieve artificial results; use of prohibited EA types, grid trading, martingale strategies or other practices generating unrealistic risk profiles; trading exclusively during high-impact news events to exploit volatility; reverse-engineering or exploiting technical errors in the Platform's pricing or execution; and any other practice that would not be viable in a real trading environment. A detailed list is set out in Annex 3.

Art. 17

Breach of rules and loss of Account

An Account Breach occurs automatically when any rule under Articles 15–16 is violated. Upon breach, the User loses access to the Account and all phases completed to date, with no right to a refund. The Provider shall notify the User of the breach by e-mail. If the Provider determines that a breach was caused by Deceptive Conduct, the Provider may additionally withhold any pending Reward, terminate the Contract and claim damages.

Art. 18

Profit Split, Reward and pay-outs

The Reward is calculated as the Profit Split percentage (as specified in the Price List) of the net simulated profit achieved on the Funded Account during the Settlement Period. The Provider shall process approved pay-out requests within 5 Business Days of approval. Pay-outs are subject to KYC completion, no ongoing Account Breach, no pending compliance review, and no violation of the Trading Rules. The Provider is entitled to postpone or withhold a Reward payment if any ground for non-payment set out in Article 70 applies.

Art. 19

Scaling Plan and Trader Career Path

The User may qualify for the Scaling Plan upon meeting consecutive performance milestones as defined in the Price List, which may result in a progressive increase of the simulated capital allocation. The Scaling Plan is a discretionary programme; eligibility criteria and the extent of capital increases are defined exclusively by the Provider. The Scaling Plan does not create any obligation on the Provider to continue increasing the allocation indefinitely.

Art. 20

Refund policy and return of Fee

The Fee paid for access to the Programme is non-refundable after the User has activated the Account and commenced trading, except: (i) where the User is a Consumer and exercises the right of withdrawal under Article 56 before commencing use; (ii) where the Provider is unable to provide the Services due to a technical failure attributable solely to the Provider lasting more than 14 consecutive days; or (iii) where the Provider refuses to enter into a Contract after receipt of the Fee (Article 3.9). The Provider does not offer "free resets" or automatic re-entries.

PART IV · Articles 21–25

AI Services and Analytical Tools

Art. 21

Description of AI Services

The Provider offers tiered AI Services (CortexProp AI Lite, Pro, Master and Elite) including: real-time sentiment engine analysing market data and social signals; position analyser providing risk/reward metrics and suggestions; Behavior Coach monitoring trading patterns for emotional or rule-violating behaviour; Signal Lab with statistical signal generation and back-testing; Portfolio Optimizer; News Filter; Compliance Watchdog; AI Educational Tutor; and, at Elite tier, personalised AI models tuned to the User's specific trading profile.

Art. 22

AI sentiment and market analysis

The AI sentiment tools aggregate and analyse publicly available market data, news feeds, social-media sentiment and on-chain data. All outputs are informational only, reflect the state of data at the time of analysis, and do not constitute investment advice or trading recommendations. The Provider does not guarantee the accuracy, completeness or timeliness of any AI output.

Art. 23

AI position analysis and behavioural alerts

The Behavior Coach analyses the User's trading patterns and flags behaviour that may be inconsistent with sound risk management (e.g. revenge trading, over-leveraging, news trading during restricted hours). These alerts are informational only and do not restrict the User's ability to trade. The Provider is not liable for any decision made by the User on the basis of such alerts.

Art. 24

AI signals, calculations and back-testing

Signal Lab outputs are generated by statistical models applied to historical and real-time data. All signals are provided for informational and educational purposes only. Back-test results are hypothetical, do not represent actual trading, and are subject to known limitations including survivorship bias, look-ahead bias and the inability to account for real-market liquidity and execution.

Art. 25

AI limitations, exclusion of warranties and responsibility for decisions

The Provider expressly excludes all warranties regarding the accuracy, reliability or fitness for any particular purpose of any AI Service output. All trading decisions are made exclusively by the User at the User's own risk. The Provider accepts no liability for any loss, damage or missed opportunity arising from the User's reliance on any AI output. The User acknowledges that AI models may produce incorrect, incomplete or misleading outputs due to data limitations, model limitations or market conditions outside the model's training distribution.

PART V · Articles 26–30

CortexProp Academy and Educational Services

Art. 26

Academy structure

The CortexProp Academy is organised into progressive tiers: CortexProp Foundations (beginner), CortexProp Trader School (intermediate, 40+ hours), CortexProp Pro Academy (advanced, live strategy) and CortexProp Mentor Path (professional, with dedicated mentor). Access to each tier depends on the package held by the User as specified in the Price List. All Academy content is protected by copyright and may be used solely for the User's personal non-commercial educational purposes.

Art. 27

Courses, content and certification

The Provider issues certificates of completion upon the User successfully completing course requirements. Certificates are issued exclusively by the Provider, are non-transferable, and do not constitute a state-recognised qualification or a licence to provide regulated financial services. The Provider reserves the right to update, modify or remove course content at any time without notice, provided the overall educational value of the relevant Academy tier is not materially reduced.

Art. 28

Live Trading Rooms and webinars

Live Trading Rooms and webinars are educational sessions conducted by the Provider's mentors or invited experts. Sessions may be recorded and made available in the archive for Users with the relevant access tier. By participating in a Live Trading Room with the camera or microphone enabled, the User consents to the recording of their image and voice. Nothing said or shown in a Live Trading Room constitutes a trading recommendation or investment advice.

Art. 29

1-on-1 mentoring

1-on-1 mentoring sessions are provided by certified mentors engaged by the Provider. The number of sessions per month is specified in the Price List for the relevant package. Sessions not used within the applicable period are forfeited and may not be carried over or refunded. Mentoring constitutes educational guidance only and does not constitute investment advice or portfolio management.

Art. 30

Community and code of conduct

Users participating in the Provider's community channels (forums, Discord, in-app chat) must comply with the Community Code of Conduct. Prohibited conduct includes: sharing of spam, illegal content, discriminatory language, false trading results; impersonating the Provider's staff; soliciting other Users for external services; and any conduct that is harmful to other community members. The Provider may remove content and suspend or terminate access of Users who breach the Code of Conduct.

PART VI · Articles 31–33

Copy Trading and Social Trading

Art. 31

Social Trading rules in the simulated environment

Copy Trading on the Platform operates exclusively within the simulated environment. No real capital is transferred between Users. The Follower replicates the simulated trades of the Strategy Provider in the Follower's own simulated Account. Results achieved by a Strategy Provider are no guarantee of results for a Follower. The Provider does not guarantee the availability, continuity or performance of any Strategy Provider's strategy.

Art. 32

Strategy Provider and Follower status

To become a Strategy Provider, the User must meet the minimum performance criteria defined by the Provider and complete the Strategy Provider registration. The Strategy Provider may be publicly listed on the Provider's leaderboards with a pseudonym and performance metrics. The Provider may suspend or remove a Strategy Provider from the leaderboard at any time without notice if the Strategy Provider's conduct violates these Terms or the Trading Rules.

Art. 33

Liability for strategies and content

The Strategy Provider is solely responsible for all trades made on the Strategy Provider's Account. The Provider is not liable for any loss suffered by a Follower as a result of copying a Strategy Provider's trades. The Strategy Provider represents that any strategy shared on the Platform complies with the Trading Rules and these Terms, and is not based on Deceptive Conduct.

PART VII · Articles 34–37

Payments, Fees and Tax Matters

Art. 34

Service price list and payment methods

Fees for all Services are set out in the current Price List (Annex 1). All prices are stated exclusive of VAT or other applicable taxes unless expressly stated otherwise. The Provider accepts payment by Visa, Mastercard, SEPA bank transfer, SWIFT international wire transfer, and cryptocurrency (USDT, USDC on Ethereum and Arbitrum networks). Cryptocurrency payments are subject to a 24-hour address validity window and the specific terms in Article 76.

Art. 35

Invoicing and tax aspects

The Provider shall issue an invoice (or equivalent tax document) for each payment of a Fee within 15 days of receipt of payment. Invoices will be issued in the name and to the address provided by the User during KYC. The Provider is incorporated in Saint Vincent and the Grenadines. VAT, GST, sales tax or any other consumption tax may or may not apply depending on the User's jurisdiction; the User is responsible for determining their own tax obligations.

Art. 36

Payment complaints and chargebacks

Complaints regarding payment processing shall be submitted to billing@cortexprop.com within 14 days of the disputed transaction. The User agrees not to initiate a chargeback with their bank or card issuer without first submitting a written complaint to the Provider and allowing at least 10 Business Days for resolution. Initiating a chargeback without following this procedure may result in immediate suspension of the Account and permanent blocking of future registrations.

Art. 37

User's tax obligations

The User is solely responsible for all tax obligations arising from the Reward or any other payment received from the Provider, including income tax, capital gains tax, and any other tax applicable in the User's jurisdiction. The Provider does not withhold taxes on behalf of the User unless required to do so by applicable law. The User shall maintain adequate tax records and consult an independent tax adviser if uncertain of their obligations. The Provider's specific obligations regarding tax withholding are addressed in Article 77.

PART VIII · Articles 38–40

Intellectual Property

Art. 38

Intellectual property rights of the Provider

All intellectual property rights in the Platform, including software, source code, databases, design, trademarks, logos, Academy content, AI models, educational materials, trading tools and any other content created by or for the Provider, are the exclusive property of the Provider or its licensors. Nothing in these Terms constitutes a transfer of any intellectual property right to the User.

Art. 39

Licence granted to the User

The Provider grants the User a limited, non-exclusive, non-sublicensable, non-transferable, revocable licence to access and use the Platform and its content solely for the User's personal non-commercial purposes in connection with the Services during the term of the Contract. The User may not copy, modify, distribute, sell, reverse-engineer, decompile or create derivative works based on any part of the Platform without the Provider's prior written consent.

Art. 40

User-generated content (UGC) and licence in favour of the Provider

By submitting content to the Platform (including community posts, strategy descriptions, feedback and testimonials), the User grants the Provider a worldwide, royalty-free, sublicensable licence to use, reproduce, modify and display such content for the purposes of operating and promoting the Platform. The User warrants that any submitted content does not infringe any third-party intellectual property rights and complies with applicable law.

PART IX · Articles 41–44

Data Protection and Privacy

Art. 41

Processing of personal data

The Provider processes the User's personal data as described in the Privacy Notice forming Annex 4 to these Terms (also available at /privacy). The legal bases for processing are: performance of contract (KYC, account management, payment processing), legal obligation (AML/CFT compliance), legitimate interest (fraud prevention, platform security, analytics) and consent (marketing, non-essential cookies). The User has data-subject rights as described in the Privacy Notice and Article 43.

Art. 42

Cookies and similar technologies

The Provider uses cookies and similar technologies as described in the Cookie Policy available at /cookies. Essential cookies are used on the basis of legitimate interest. Non-essential cookies (functional, analytics, marketing) require the User's consent, which may be granted or withdrawn at any time through the cookie preference centre.

Art. 43

Data subject rights

The User has the right to access, rectify, erase, restrict processing, object to processing, and receive a portable copy of their personal data. Requests may be submitted via the Data Subject Request form in Account settings or by e-mail to privacy@cortexprop.com. The Provider will respond within the time limits set by applicable law (1 month under GDPR, 45 days under CCPA, 30 days under PDPA, 15 days under LGPD).

Art. 44

Data security and incident notification

The Provider implements appropriate technical and organisational measures to protect personal data against unauthorised access, including TLS 1.3 encryption in transit, AES-256 encryption at rest, 2FA, and regular penetration testing. In the event of a data breach likely to result in a risk to the User's rights and freedoms, the Provider will notify the relevant supervisory authority within 72 hours and affected Users without undue delay.

PART X · Articles 45–49

Liability, Risks and Indemnification

Art. 45

Risk disclosure

The User acknowledges that: trading on financial markets (even in a simulated environment) requires significant knowledge, experience and discipline; results in the simulated environment are not indicative of results in a real trading environment; all AI outputs are informational only and may be incorrect; and the User's decision to trade in a real environment based on skills developed on the Platform is taken entirely at the User's own risk. A full Risk Disclosure Statement is set out in Annex 2.

Art. 46

Disclaimer of warranties

The Platform and all Services are provided "as is" and "as available". The Provider makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted availability, error-free operation or accuracy of content. The Provider does not warrant that the simulated environment will at all times accurately reflect real market conditions.

Art. 47

Limitation of liability

To the maximum extent permitted by applicable law, the Provider's aggregate liability to the User for any claim arising out of or in connection with these Terms or the Services shall not exceed the total amount of Fees paid by the User to the Provider in the 12 months immediately preceding the event giving rise to the claim. The Provider shall not be liable for any indirect, consequential, incidental, special, punitive or exemplary damages, including loss of profit, loss of data or loss of opportunity, even if advised of the possibility of such damages. These limitations shall not apply to liability for fraud, death or personal injury caused by the Provider's negligence, or any other liability that cannot be excluded by law.

Art. 48

Indemnification

The User agrees to indemnify, defend and hold harmless the Provider, its directors, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: the User's breach of these Terms; the User's Deceptive Conduct; any content submitted by the User that infringes third-party rights; or the User's violation of applicable law.

Art. 49

Force majeure

The Provider shall not be liable for any failure or delay in performing its obligations under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, cyber-attacks on third-party infrastructure, regulatory actions prohibiting provision of the Services, or prolonged failure of third-party service providers (internet, data feeds, payment processors). In such cases, the Provider's obligations are suspended for the duration of the force majeure event.

PART XI · Articles 50–54

Term, Suspension and Termination

Art. 50

Duration of the contractual relationship

The Contract is concluded for an indefinite period unless otherwise specified. Access to a specific Service (e.g. AI Services subscription, Academy tier, Funded Account) is governed by the parameters in the Price List. A Funded Account has no time limit unless an Account Breach occurs. An AI Services or Academy subscription is valid for the period specified in the Price List from the date of payment of the Fee.

Art. 51

Suspension and access restriction

The Provider may temporarily suspend the User's access to the Platform without prior notice in case of: suspected unauthorised access; ongoing compliance or AML review; technical maintenance (with prior notice where reasonably possible); or suspected Deceptive Conduct. The Provider shall inform the User of a suspension and its reason as soon as reasonably practicable, unless disclosure would prejudice an ongoing investigation.

Art. 52

Termination by the User

The User may terminate the Contract at any time with immediate effect by written notice to legal@cortexprop.com. Termination by the User does not entitle the User to a refund of any Fee already paid for a Service that has been activated, except in cases described in Article 20 or Article 56.

Art. 53

Termination by the Provider

The Provider may terminate the Contract with 30 days' notice for any reason, or with immediate effect in cases of: material breach (including Account Breach, Deceptive Conduct, KYC non-compliance); the User becoming insolvent; a change of law rendering provision of the Services unlawful; or any other grounds set out in Article 74. Upon immediate termination for breach, no refund of the Fee is payable.

Art. 54

Consequences of termination

Upon termination for any reason: the User's access to the Platform ceases; all simulated values on the Account are cancelled and lose value; any Reward already approved and payable at the time of termination shall be paid to the User within 30 days, unless any ground for withholding applies; and the Provider shall retain personal data in accordance with the retention periods set out in the Privacy Notice. Provisions of these Terms which by their nature should survive termination (including Articles 38–40, 45–48 and 64–66) shall continue in force.

PART XII · Articles 55–58

Consumer Provisions (where applicable)

Art. 55

Consumer status

The provisions of this Part XII apply exclusively to Users who qualify as Consumers in their country of residence. A User who registered on the Platform as a Business User or who registered on behalf of a legal entity is not entitled to the consumer protections in this Part. The Provider may request evidence of consumer status from the User at any time.

Art. 56

Right of withdrawal

A Consumer is entitled to withdraw from the Contract without giving any reason within 14 days of conclusion of the Contract, unless the Consumer has already commenced use of the Service (i.e. activated the Account and started trading), in which case the right of withdrawal is lost pursuant to the applicable consumer protection law (the Consumer's express request for immediate provision of services). To exercise the right of withdrawal, the Consumer must notify the Provider using the Withdrawal Form (Annex 6) or any other clear statement sent to legal@cortexprop.com.

Art. 57

Complaint procedure

A Consumer (and any other User) may submit a complaint regarding the Services to complaints@cortexprop.com using the Complaint Form (Annex 5). The Provider shall acknowledge receipt within 3 Business Days and provide a substantive response within 30 calendar days. If the Provider fails to respond within this period, the complaint is deemed to have been upheld. The complaint procedure is free of charge.

Art. 58

Alternative dispute resolution

Where the complaint procedure does not result in a satisfactory resolution, a Consumer may seek alternative dispute resolution (ADR) through any competent ADR body in the Consumer's country of residence. The Provider will participate in good faith in any ADR process initiated in accordance with applicable consumer protection law. The availability of ADR does not preclude access to the courts.

PART XIII · Articles 59–66

Final Provisions

Art. 59

Amendment of the Terms

The Provider may amend these Terms at any time. Material amendments will be communicated to the User by e-mail and in-platform notification at least 30 days before the effective date, unless an immediate change is required by law or to address a security vulnerability. Continued use of the Services after the effective date of amended Terms constitutes acceptance. If the User does not accept the amended Terms, the User may terminate the Contract free of charge before the effective date.

Art. 60

Communication and delivery

All formal communications between the Provider and the User shall be in English and sent to the e-mail address registered in the Account (for the User) or to legal@cortexprop.com (for the Provider). Communications sent by e-mail shall be deemed delivered at the time of transmission if no delivery-failure notification is received within 24 hours. The Provider may also deliver notices through in-platform notifications.

Art. 61

Assignment

The User may not assign, transfer or sub-contract any of its rights or obligations under the Contract without the prior written consent of the Provider. The Provider may assign the Contract and all rights and obligations thereunder to any successor entity or to an affiliate in connection with a restructuring, merger or sale of business, provided the Provider notifies the User at least 30 days in advance and the assignee agrees to honour these Terms.

Art. 62

Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, lawful and enforceable, or if that is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Art. 63

Waiver and tolerance

A failure by the Provider to exercise, or any delay in exercising, any right or remedy under these Terms shall not constitute a waiver of that right or remedy. Tolerance of a breach by the Provider on one occasion shall not be construed as acceptance of such breach on any future occasion.

Art. 64

Governing law and language

These Terms and the Contract shall be governed by and construed in accordance with the laws of Saint Vincent and the Grenadines. Where mandatory consumer-protection provisions of the User's country of residence provide greater protection, such provisions shall apply in addition to, but not in derogation of, these Terms. These Terms are drafted in English; in the event of any inconsistency between language versions, the English version shall prevail.

Art. 65

Dispute resolution and jurisdiction

In the event of any dispute, controversy or claim arising out of or in connection with these Terms or the Services, the parties shall first attempt to resolve it amicably within 30 days of one party notifying the other in writing. If amicable resolution is not achieved, disputes shall be submitted to the exclusive jurisdiction of the courts of Saint Vincent and the Grenadines, subject to the mandatory jurisdiction provisions of any applicable consumer-protection law.

Art. 66

Effectiveness, transitional and final provisions

These Terms enter into force on 1 May 2026. They supersede all previous versions of the Provider's general terms and conditions. Contracts concluded before the effective date are governed by the prior version of the Terms until the end of their term, unless the User expressly accepts these Terms. The Provider archives all previous versions of the Terms; copies are available on request at legal@cortexprop.com.

PART XIV · Articles 67–83

Reinforcing and Supplementary Provisions

Art. 67

Reinforced statement on the simulated environment and exclusion of regulated-institution status

For the avoidance of any doubt and as a reinforced statement: the Provider is exclusively a technology and education company. It is not, and does not represent itself as being, a broker, bank, investment fund, payment institution, EMI, VASP, custodian or any other regulated financial institution. The "Funded Account", "capital", "profit", "loss" and "pay-out" are all contractual terms referring to performance metrics and remuneration within a simulated evaluation programme, not to real money accounts, real trades or real financial instruments.

Art. 68

Status of the User as an independent contractor

The User is at all times an independent contractor and not an employee, agent, partner or joint venturer of the Provider. Nothing in these Terms or in the Services creates any employment relationship, agency or fiduciary duty between the Provider and the User. The User is solely responsible for their own tax, social security and other obligations arising from any Reward received.

Art. 69

Ownership of trading strategy and performance data

The Provider owns all performance data generated by the User within the simulated environment, including trade history, metrics, equity curves and behavioural data, to the extent necessary for the operation, improvement and security of the Platform. The User retains ownership of their own trading strategy ideas as intellectual property, subject to the limitations imposed by the non-disclosure obligations under Article 78.

Art. 70

Exhaustive list of grounds for non-payment of the Reward

The Provider shall not pay, shall withhold, or may claw back any Reward where: the User has engaged in Deceptive Conduct (Article 16); the User has violated the Single-Account policy (Article 9); the Account Breach rules have been violated (Article 17); KYC has not been completed or documents are found to be false; the User is on a sanctions list; the pay-out would violate AML legislation; a chargeback has been initiated by the User; the User is in breach of any provision of these Terms; the Reward was calculated on the basis of a technical error; the User has not complied with the Consistency Rule; or any other ground specified elsewhere in these Terms or in the Price List applies.

Art. 71

Clawback – return of already-paid Reward

The Provider may require the return of Rewards already paid if, within 12 months of payment, it is established that the Reward was paid: (i) on the basis of Deceptive Conduct discovered after payment; (ii) due to a technical error or incorrect calculation; (iii) as a result of the User's fraudulent misrepresentation; or (iv) in violation of any AML or sanctions obligation. The User agrees to repay the relevant amount within 14 days of written demand. If not repaid, the Provider may set off the amount against any future Reward or pursue recovery by any lawful means.

Art. 72

Pay-out limits and frequency

Maximum pay-out amounts and minimum Settlement Period intervals are set out in the Price List. The Provider may impose additional aggregate pay-out limits per User per calendar month to manage financial risk. The first Reward pay-out on any Account requires completion of full KYC and identity verification. Subsequent pay-outs are subject to the same requirements if the User's data has changed or a compliance review is pending.

Art. 73

Fraud detection methods and abuse prevention

The Provider uses automated and manual systems to detect Deceptive Conduct, including: machine-learning models applied to trading patterns; cross-account correlation analysis; IP and device fingerprinting; payment data correlation; detection of coordinated trading; and third-party fraud databases. Where fraud is detected, all related Accounts may be terminated, all pending and future Rewards withheld, and the matter reported to relevant authorities. The User expressly consents to this monitoring as a condition of using the Services.

Art. 74

Additional grounds for immediate termination of the Contract

In addition to Article 53, the Provider may terminate the Contract with immediate effect if: the User provides materially false KYC documents; the User uses another person's identity; the User threatens, harasses or intimidates the Provider's staff; the User publicly disparages the Provider in bad faith in a manner causing material reputational damage; the User uses the Services in connection with any criminal activity; or any mandatory law requires the Provider to immediately cease providing Services to the User.

Art. 75

Death of the User, succession and loss of legal capacity

Upon the death of a User who is a natural person, the Account and all simulated values cease to exist. Rewards approved and due before the date of death shall be paid to the legal heir upon presentation of a valid probate certificate or equivalent document within 24 months of the date of death. No new Rewards shall accrue after the date of death. If a User loses legal capacity, the contract shall be managed by the User's legal guardian in accordance with applicable law.

Art. 76

Cryptocurrency payments and sanctions compliance

Cryptocurrency payments are accepted via USDT or USDC on Ethereum Mainnet or Arbitrum One only. Each crypto payment order is assigned a unique wallet address valid for 24 hours. Payment is confirmed upon receipt of the required amount (minimum 98% tolerance). The Provider performs on-chain analytics on all crypto transactions using third-party providers (Chainalysis, Elliptic or TRM Labs) for AML/CFT compliance and sanctions screening. The Provider reserves the right to reject and return any crypto payment that originates from a flagged, sanctioned or mixer-associated address.

Art. 77

Tax withholding and specific tax provisions

The Provider does not withhold income tax, withholding tax or any similar deduction from Reward payments unless required to do so by a mandatory provision of applicable law (e.g. a double-taxation treaty requiring withholding at source). If the Provider becomes required to withhold tax by applicable law, it will notify the User and issue appropriate tax documentation. The User is solely responsible for reporting Reward income to the relevant tax authorities in their jurisdiction.

Art. 78

Confidentiality and non-disparagement

The User agrees to keep confidential all non-public information relating to the Platform, including proprietary trading tools, AI model architecture, back-office processes and business information disclosed to the User in connection with the Services. The User shall not publicly disparage the Provider in bad faith. These obligations survive termination of the Contract for a period of 2 years. They do not prevent the User from making factually accurate statements or exercising legal rights.

Art. 79

Data and archiving after termination

After termination of the Contract, the Provider shall: retain KYC documents for 5 years (AML obligation); retain financial transaction records for 7 years (accounting obligation); delete or anonymise all other personal data within 2 years unless a longer retention is required by law or is necessary for the defence of legal claims. Upon written request within 30 days of termination, the User may obtain a machine-readable export of their trading history and personal data, subject to the limitations of applicable law.

Art. 80

Reinforced provisions on the realism of trading conditions

The Provider uses real-time or near-real-time market data feeds in the simulated environment to ensure that the trading conditions reflect actual market conditions as closely as technically possible. However, the Provider does not guarantee that execution prices, spreads, slippage, liquidity or other parameters in the simulated environment will at all times exactly match those available on real financial markets. Any discrepancy between simulated and real conditions shall not give rise to any claim by the User.

Art. 81

B2B opt-out from consumer protection

A User who qualifies as a Business User (Article 2.36) expressly waives all consumer-protection rights and remedies to the extent such waiver is permitted by applicable law, and agrees that their relationship with the Provider is governed exclusively on a business-to-business basis. This waiver does not apply to mandatory statutory rights that cannot be waived by agreement.

Art. 82

Class action waiver

To the maximum extent permitted by applicable law, the User waives any right to participate in a class action, collective action or representative action against the Provider. All disputes must be brought on an individual basis. This waiver does not apply to Consumers in jurisdictions where such waivers are prohibited by mandatory law.

Art. 83

No investor-issuer relationship and exclusion of collective investment

These Terms do not create any investor-issuer relationship between the User and the Provider. No part of the Fee or any other payment constitutes the purchase of a security, share, bond, token, unit in a collective investment scheme or any other regulated financial instrument. The Provider does not pool User funds, does not invest User funds on financial markets, and does not guarantee any return on any amount paid by the User.
